Legal Counsel for Venture Capital Fund (m/f/d) - 10x Founders (VC Fund, Munich, Germany)

Your role

We are now looking for a passionate Legal Counsel who joins us on our journey. You will be an essential part of the team contributing to and further developing the legal function of 10x Founders. The role will allow you to work closely together with the investment team, the partners and the start-up companies directly in an entrepreneurial environment, and your role includes looking at 10x Founders and its business holistically and building it for the long-term. The responsibilities will, among others, include

Preparation, negotiation and execution of venture capital transactions
Providing general advice to our founders and start-up companies in case of legal questions
Coordinating and managing all legal matters in relation to the fund, setting up our next fund generations, and supporting the due diligence process for our potential LPs

In addition, you are encouraged to bring in your own ideas, helping us to establish a scalable and efficient legal function while coordinating our external legal service providers.

You are an innovative and energetic professional with a university law degree that demonstrates excellent capabilities as well as the ability to make sound and responsible judgements. You should have a few years of relevant experience as a legal professional in the early-stage venture or start-up industry or similar. You are familiar with the legal cornerstones of venture capital transactions, speed of execution (in particular at pre-seed and seed stages) and are not new to understanding, creating, and modifying ISHAs and cap tables. You are interested in supporting entrepreneurs and early-stage start-ups. Ideally, you are also interested in digital products and innovation, possibly leading the creation and implementation of some tools yourself. We want you as part of the team, with your ideas, views and experience. Your responsibilities

Support the investment team primarily during pre-seed and seed stage venture capital transactions by taking responsibility for the deal preparation, negotiation and execution from a legal perspective
Coordination and execution of legal due diligence and review of financing documents of target companies, mostly from the perspective of co-investor. Become the contact person for all legal matters during the transaction and drive the process across the finish line
In those cases where 10x Founders is leading a financing round, you negotiate final legal deal terms with founders towards the end of a transaction
Become the contact person - and advise the CFO and the partners of 10x Founders - on all legal and regulatory matters of the fund, the portfolio, and the management company
Support our LP relationships by assisting during fundraising and when orchestrating co-investments
Close cooperation with and management of external law firms
Provide general high-level legal advice to our portfolio start-ups in case of legal questions and provide legal templates
Together with our team, select and manage new and innovative digital solutions that keep us at the top of the curve as a VC fund

Experience and Requirements

Completed law degree (Volljurist)
4+ years of relevant work experience in the early-stage venture or start-up industry (at a law firm, start-up or, ideally, even at a venture capital fund)
Ability to structure your thinking and coordinate several work streams and processes simultaneously
Strong interpersonal skills and ability to speak to entrepreneurs and VC partners eye-to-eye
Motivated by working with early-stage entrepreneurs and companies and ready to shape the legal function of a fast growing VC fund
